Terms of Service | Coincheers Web3 Media Desk
Terms of Service
01 Scope of Services & Media Desk Operations
Coincheers operates strictly as a commercial media buying desk, press release distribution coordinator, and editorial placement intermediary for Web3, cryptocurrency, blockchain, and fintech entities.
Our services encompass commercial PR syndication, direct publisher placements, organic earned media coordination, and optional SEO press release drafting. Coincheers is neither a registered broker-dealer, financial advisory firm, securities exchange, nor a direct news outlet publishing under its own independent journalistic masthead.
02 Client Content & Compliance Warranties
Clients commissioning press release distribution or editorial placements bear sole and exclusive legal, factual, and regulatory responsibility for all materials submitted, including but not limited to body copy, headlines, logos, hyperlinked URLs, founder quotes, and imagery.
By submitting materials to Coincheers, Client expressly warrants that:
- All claims, statements, metrics, and partnership assertions are factually accurate, verifiable, and not misleading;
- The materials do not infringe upon any third-party copyright, trademark, patent, trade secret, or proprietary right;
- The campaign does not promote fraudulent schemes, unregistered securities, unlicensed gambling, illicit token sales, or malicious smart contracts;
- Client possesses all necessary regulatory permissions, licenses, and legal clearances required in all target distribution jurisdictions.
03 Editorial Discretion & Replacement Policy
Third-party news publications, wire networks, and independent journalists maintain sole, sovereign editorial discretion regarding publication timing, headline modifications, formatting, category assignment, and indexing.
Editorial Rejection & Replacement Guarantee: In the rare event a specific media publication declines, modifies, or cannot fulfill an ordered placement due to internal policy changes, editorial board reviews, or regulatory shifts, Coincheers will not cancel the order without recourse. Instead, we guarantee an immediate alternative placement with a verified publication of equal tier, traffic volume, and domain authority, agreed upon in coordination with the Client.
Turnaround times (typically 24–72 hours) are estimated targets based on standard publisher queues and may experience temporary adjustments during major industry market volatility or high-volume news cycles.
04 Payment Terms, Digital Currencies & Fees
Coincheers operates on an unbundled, direct-to-publisher pricing model with zero mandatory monthly retainers and zero ongoing maintenance commitments.
- Prepayment Requirement: All distribution packages, single-outlet bookings, and copywriting add-ons must be settled in full prior to distribution dispatch and editorial desk scheduling.
- Accepted Currencies: We accept Web3 payments in USDT, USDC, BTC, and ETH across major supported blockchain networks, as well as institutional bank wire transfers.
- Irrevocability: Once a press release has been formally submitted to publishers, wire queues, or editorial desks, publisher fees are incurred immediately. Consequently, orders cannot be canceled, refunded, or reversed once execution has commenced.
- Chargeback Policy: Any unauthorized chargeback, payment dispute, or clawback will result in immediate termination of services, permanent blacklisting across our publisher network, and retroactive publication removal requests where feasible.
05 Sponsored Disclosures & Regulatory Labels
In accordance with United States Federal Trade Commission (FTC) guidelines, European advertising directives, and global consumer protection standards, syndicated commercial distribution and paid newswire packages may carry disclosures such as "Sponsored Content," "Press Release," "Promotional Feature," or "Partner Article" at the hosting outlet’s sole discretion.
Coincheers cannot override mandatory disclosure tags imposed by host platforms or third-party editorial teams.
06 Intellectual Property & Promotional Rights
Client retains all underlying ownership rights, copyrights, and trademarks in its submitted content. By submitting content to Coincheers, Client grants Coincheers a non-exclusive, worldwide, royalty-free license to transmit, reproduce, format, distribute, and display such content solely for the purpose of executing the agreed-upon media campaign.
Coincheers reserves the right to display published live links, coverage summaries, and Client company logos in our portfolio, client lists, and case studies as proof of execution unless explicitly agreed otherwise in writing.
07 Indemnification
Client agrees to defend, indemnify, and hold harmless Coincheers, its parent operators, affiliates, contractors, officers, and agents against any and all claims, damages, liabilities, losses, and legal costs (including reasonable legal fees) arising out of or related to:
- Any inaccuracy, falsehood, or copyright infringement contained in Client's submitted materials;
- Any regulatory investigation, consumer complaint, or legal enforcement action concerning Client's tokens, protocol, smart contracts, or financial products;
- Client's breach of any warranty or representation set forth in these Terms.
08 Limitation of Liability & Disclaimers
To the maximum extent permitted by applicable law, Coincheers provides its services strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory.
Coincheers guarantees publication and live URL verification as contracted, but expressly disclaims any warranty regarding token trading volume, investment conversions, search engine algorithmic rankings, pageview metrics, or user acquisition outcomes.
In no event shall Coincheers' aggregate liability for any claim arising out of these Terms or the services rendered exceed the total amount actually paid by Client to Coincheers for the specific order giving rise to liability.
09 Governing Law & Dispute Resolution
These Terms of Service and any dispute or controversy arising out of or in connection with them shall be governed by and construed in accordance with standard commercial international principles.
Prior to initiating formal legal proceedings, both parties agree to engage in good-faith informal negotiations through their designated representatives for a minimum period of thirty (30) days.
